This Exclusive License Agreement is between you and Ngima Thogo, explaining your rights when purchasing an Exclusively Licensed Image.

1. Definitions

• Ngima Thogo: The artist.

• Ngima Thogo Art: The online store at ngimathogo.art

• Exclusively Licensed Image: A digital image purchased for personal or commercial use under an exclusive license.

• Exclusive License: Rights granted to you alone for this image; no one else may purchase the same image.

2. Grant of License

Ngima Thogo grants you a worldwide, royalty-free, exclusive license to use the image for personal and commercial projects. The image may not be resold, redistributed, or sublicensed.

3. Your Use of the Image

You may use the image for projects as permitted by this license. Any alterations require written approval from Ngima Thogo.

4. Copyright

Ngima Thogo retains copyright. This license does not transfer ownership. Ngima Thogo affirms the image does not infringe on third-party rights.

5. Indemnification

You agree to indemnify and hold Ngima Thogo harmless from claims arising from your use of the image.

6. Termination

This license is permanent unless you violate its terms, in which case it may be revoked.

7. Dispute Resolution

Disputes will first be addressed through mediation. If unresolved, the matter may proceed under the laws of Ngima Thogo’s location.

8. Governing Law

This agreement is governed by the laws of Kenya.
